These Terms of Use (“Terms”) govern your access to and use of TechBuddies Studio (the “Service”), operated by Simplicity Design Inc. (“we”, “us”, or “our”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

TechBuddies Studio is an AI-powered content generation platform. It allows registered users to:

Generate long-form blog articles, insight posts, and promotional content using AI
Create social media posts and images for platforms including Facebook, Instagram, X, Threads, and Pinterest
Upload and manage a media library of images, documents, products, services, courses, testimonials, and events
Run an automation agent that generates and schedules content on a recurring basis
Purchase and use credits to pay for AI generation tasks

The Service uses third-party AI providers (including Anthropic and FAL.ai) to produce content. Output quality, accuracy, and suitability depend on many factors and are not guaranteed.

2. Eligibility

You must be at least 18 years old to create an account and use the Service. By registering, you confirm that you meet this requirement and that the information you provide is accurate and complete.

3. Accounts

3.1 Registration

You must create an account to access the Service. You agree to provide accurate information and to keep it up to date.

3.2 Account security

You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. Notify us immediately at simplicitydesignstore@gmail.com if you suspect unauthorized access.

3.3 One account per person

Accounts are personal and may not be shared with or transferred to others without our written consent.

4. Credits

4.1 How credits work

Access to AI generation tools requires credits. Credits are purchased in advance and deducted from your balance when you run a tool. Your credit balance is visible in your account dashboard.

4.2 Credit packages

Credits are available in the following packages:

Prices are in USD and are subject to change. Any changes will be communicated to existing users before taking effect.

4.3 Welcome credit

New accounts receive a complimentary $5.00 credit upon registration. This credit is issued once per account and cannot be transferred.

4.4 Credit costs

Each tool deducts credits based on the complexity of the task (word count, number of images, use of external link research, etc.). Estimated costs are shown before you submit a generation job. The actual cost may differ slightly from the estimate; your account is debited the actual cost on completion.

4.5 No expiry

Purchased credits do not expire while your account remains active.

4.6 Refunds

Credits are non-refundable except where required by applicable law or at our sole discretion in cases of technical failure on our part. If a generation job fails due to a system error, the reserved credits for that job are automatically released back to your balance.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

Use the Service to generate content that is illegal, defamatory, harassing, hateful, discriminatory, or obscene
Generate spam, mass unsolicited messages, or content designed to deceive readers
Infringe the intellectual property rights of any third party
Attempt to circumvent any access controls, security measures, or rate limits
Use automated scripts, bots, or crawlers to access the Service (other than through our published API or automation agent features)
Resell or sub-license access to the Service without our written consent
Use the Service to generate content that violates the terms of any platform you publish to (e.g. Meta, X)
Attempt to reverse-engineer, decompile, or extract our AI prompts, models, or system internals
Upload malicious files or content intended to compromise the Service or other users

We reserve the right to suspend or terminate accounts that violate these rules, with or without prior notice.

6. Content Ownership and Licence

6.1 Your input content

You retain ownership of any content you upload to the Service (images, documents, product descriptions, etc.). By uploading content, you grant us a limited, non-exclusive licence to process, store, and use it solely for the purpose of providing the Service to you.

6.2 AI-generated output

Subject to these Terms and your compliance with them, you own the AI-generated content produced by the Service on your behalf. You are responsible for reviewing generated content before publishing it, ensuring it is accurate, lawful, and suitable for your intended audience.

6.3 Restrictions on output use

You must not use generated content in ways that:

Violate applicable laws or regulations
Infringe third-party intellectual property rights
Constitute spam or deceptive advertising
Violate the terms of service of platforms where you publish the content

6.4 Our rights

We do not claim ownership of your input content or generated output. We do not use your content to train AI models. We may access your content to the extent necessary to operate, debug, and improve the Service.

7. AI-Generated Content Disclaimer

Content generated by the Service is produced by AI models and may:

Contain factual inaccuracies, outdated information, or errors
Reflect biases present in AI training data
Not be unique or original — similar content may be generated for other users with similar inputs
Require review and editing before publication

You are solely responsible for reviewing, fact-checking, and editing generated content before using or publishing it. We make no warranty that generated content is accurate, legally compliant, or fit for any particular purpose.

8. Third-Party Integrations

The Service may allow you to connect third-party accounts (e.g. WordPress, Shopify, Meta/Facebook). By connecting a third-party service:

You authorise us to access that service on your behalf, within the permissions you grant
You remain responsible for complying with the third party’s terms of service
We are not responsible for the availability, accuracy, or actions of third-party services

9. Automation Agent

The automation agent feature can generate and schedule content automatically on a recurring basis. By activating the agent, you:

Authorise the Service to generate content and consume credits on your behalf at the configured frequency
Acknowledge that the agent may generate multiple pieces of content per day, each incurring credit costs
Remain responsible for the content the agent produces and any posts it publishes to connected platforms

You may deactivate the agent at any time from your account settings.

10. Intellectual Property

All elements of the Service — including the platform design, interface, source code, branding, and documentation — are owned by or licensed to Simplicity Design Inc. and are protected by applicable intellectual property laws. You may not copy, reproduce, or create derivative works from any part of the Service without our express written permission.

11. Availability and Service Changes

We aim to provide a reliable service but do not guarantee uninterrupted availability. We reserve the right to:

Modify, suspend, or discontinue any feature of the Service at any time
Adjust credit pricing or tool costs with reasonable notice
Impose usage limits to maintain service quality

Where we make significant changes that affect paid features, we will provide advance notice.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT AI-GENERATED CONTENT WILL MEET YOUR REQUIREMENTS OR BE ACCURATE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SIMPLICITY DESIGN INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITY, OR REPUTATION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless Simplicity Design Inc. and its officers, employees, and contractors from any claims, losses, damages, and expenses (including reasonable legal fees) arising out of or related to:

Your use of the Service
Content you submit, upload, or generate through the Service
Your violation of these Terms
Your infringement of any third-party rights

15. Termination

15.1 By you

You may close your account at any time from your account settings or by contacting us at simplicitydesignstore@gmail.com. Unused credits are non-refundable upon voluntary termination, except where required by law.

15.2 By us

We may suspend or terminate your account immediately if:

You breach these Terms
We detect fraudulent, abusive, or illegal activity
We are required to do so by law

On termination, your access to the Service and your content will be removed in accordance with our Privacy Policy.

16. Governing Law and Disputes

These Terms are governed by the laws of Canada, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service shall be resolved exclusively in the courts of Richmond, and you consent to personal jurisdiction in those courts.

If you are a consumer in a jurisdiction that provides additional statutory rights, nothing in these Terms limits those rights.

17. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top. For material changes, we will notify you by email or by a prominent notice in the Service at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
